Source Intelligence (SI) has developed and implemented a learning management system (LMS) that enables the company to create, design, and deliver supply chain compliance; transparency; and Environment, Social & Governance (ESG) learning events and content through an eLearning platform, Source Academy (the Academy). The purpose of this policy is to set forth the principles for the management of intellectual and legal property rights relevant to content shared and distributed via the Academy.
2.1 SI owns unlimited exclusive rights to all IP (Intellectual Property) created, made, conceived, reduced to practice, or authored in connection with the SI LMS.
2.2 In the event an outside party such as a contractor develops or provides instructional materials to SI, the following language shall be included in the contractual agreement with said contractor:
2.2.1 All materials submitted in fulfillment of contractual obligations become SI property.
2.2.2 All materials produced for learning events, including second and subsequent editions if any updates, supplements, derivatives, in whatever medium (the “work”) will be considered a work made for hire, as that term is defined in the federal copyright statute; that as such, SI will be considered to be the “author” of the “work” and will own all rights, title and interests in the work, including the right to copyright it; and that contractor will cooperate as necessary with SI in assisting SI to secure copyright in its own name in the work.
2.2.3 Contractors shall not offer the same learning event to any other person or entity, for compensation or without compensation, without SI’s express written permission.
2.2.4 Contractors represent and warrant either that the work is contractor’s own original work in the public domain or that contractor agrees to defend, indemnify, and hold harmless SI for breach of this warrant.
Violations of this policy will not be tolerated, and users will be banned from accessing the Source Academy site if evidence of violation is obtained.
